These terms govern your use of cFrappe's Human Capital Management software and related services. Please read them carefully.

1. Acceptance of Terms

By accessing or using cFrappe's Complete Human Capital Management Software ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including organizations using our HR software for payroll, talent management, attendance, leave, expenses, performance, and human capital administration.

2. Description of Service

cFrappe provides a Complete Human Capital Management Software solution that includes:

  • Payroll processing and management
  • Tax reporting and compliance tools
  • Leave and attendance management
  • Expense tracking and management
  • Performance management systems
  • Recruitment and talent acquisition tools
  • Employee lifecycle management
  • Desktop applications for Windows and macOS
  • Mobile applications for Android and iOS

The Service is built as a software client for FrappeHR, providing comprehensive human capital administration capabilities.

3. User Accounts and Registration

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your account information
  • Keep your password confidential and secure
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activities under your account

4. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Violate any applicable laws or regulations
  • Infringe upon the rights of others
  • Upload malicious code or attempt to breach security
  • Interfere with the proper working of the Service
  • Access data not intended for you
  • Use the Service for unauthorized commercial purposes
  • Reverse engineer or attempt to extract source code
Data Responsibility: As the customer, you are responsible for ensuring that employee data processed through our HR system complies with applicable employment laws and data protection regulations in your jurisdiction.

5. Subscription and Payment Terms

Access to certain features of the Service requires a paid subscription. By subscribing, you agree to:

  • Pay all applicable fees as described in your chosen plan
  • Provide current and accurate billing information
  • Allow automatic renewal unless cancelled
  • Accept that fees are non-refundable except as required by law

We reserve the right to change our pricing with 30 days' notice to existing subscribers.

6. Data Ownership and Processing

Your Data

You retain all rights, title, and interest in your employee data, HR records, and other information processed through the Service. We act as a data processor on your behalf.

Our Rights

We retain rights to:

  • Process your data to provide the Service
  • Generate anonymized analytics for service improvement
  • Ensure security and prevent fraud
  • Comply with legal obligations

7. Service Availability and Support

We strive to maintain high service availability but do not guarantee uninterrupted access. We provide:

  • Reasonable efforts to maintain 99.5% uptime
  • Regular maintenance windows with advance notice
  • Technical support during business hours
  • Documentation and training resources

8. Intellectual Property Rights

The Service and its original content, features, and functionality are owned by cFrappe and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service without our written consent.

9. Third-Party Services and Integrations

Our Service may integrate with third-party services and applications. We are not responsible for:

  • The availability or functionality of third-party services
  • Data security practices of integrated services
  • Terms and conditions of third-party providers
  • Any costs associated with third-party services

10. Limitation of Liability

To the maximum extent permitted by law, cFrappe shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Service.

Our total liability for any claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid us in the twelve months preceding the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless cFrappe from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from:

  • Your use of and access to the Service
  • Your violation of any term of these Terms
  • Your violation of any third-party right
  • Your employee data or HR practices

12. Termination

Either party may terminate these Terms at any time. Upon termination:

  • Your access to the Service will cease immediately
  • You may export your data within 30 days
  • We will delete your data according to our retention policy
  • Outstanding fees remain due and payable

We may terminate or suspend your account immediately if you breach these Terms.

13. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration, except where prohibited by law.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Updating the "Last updated" date
  • Sending email notification to your registered address
  • Displaying a prominent notice on our website

Your continued use of the Service after changes become effective constitutes acceptance of the new Terms.

15. Severability and Waiver

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

16. Entire Agreement

These Terms constitute the entire agreement between you and cFrappe regarding your use of the Service and supersede all prior and contemporaneous written or oral agreements.
